Terms and Conditions for Disc
These Terms and Conditions (the “Terms”) govern the access to and use of the Disc platform, website, applications, APIs, software, data interfaces, tools, analytics functionality, visualisations, signal-generation capabilities and associated services (collectively, the “Platform” or “Services”) operated by DISC TECHNOLOGIES LTD (“Disc”, “Company”, “we”, “us” or “our”).
By registering for, accessing, browsing, downloading, installing or otherwise using the Services, you acknowledge that you have read, understood and agree to be legally bound by these Terms.

2. Definitions
- “Account” means any registered user account created to access the Services.
- “Applicable Laws” means all laws, regulations, rules, regulatory guidance, market standards and exchange requirements applicable to the use of the Services.
- “Content” means all information, data, text, charts, signals, metrics, indicators, visualisations, analytics, models, outputs, scripts, calculations and materials displayed, generated, uploaded, streamed or otherwise made available through the Services.
- “Credits” means usage-based consumption units purchased or allocated by Disc and consumed through use of certain Services or computational functionality.
- “Data Providers” means third-party exchanges, market data vendors, liquidity venues, blockchain indexing providers, infrastructure vendors, cloud providers and other upstream providers whose data or services may be incorporated into the Platform.
- “User Content” means any information, data, scripts, code, formulas, prompts, models, configurations or materials uploaded, created, submitted or generated by a user.
3. Nature of the Services
3.1
Disc provides a hosted software-as-a-service platform enabling users to access, process, stream, visualise, analyse and model financial, trading, market and related datasets in real time.
3.2
The Platform is a technology and data infrastructure product only.
3.3
Disc:
- does not operate as a broker, dealer, exchange, investment adviser, portfolio manager, financial adviser, custodian, payment institution or cryptoasset service provider;
- does not execute trades or transmit orders for execution;
- does not hold client money or client assets;
- does not provide investment recommendations;
- does not provide trading recommendations;
- does not provide advice regarding the suitability of any investment, asset class, trading strategy, market position or financial instrument.
3.4
Any tools, indicators, signals, calculations, rankings, outputs, analytics, automations or models available through the Platform are provided solely as informational and technological utilities and shall not constitute:
- financial promotion;
- investment advice;
- regulated financial advice;
- solicitation;
- recommendation;
- endorsement; or
- fiduciary guidance.
3.5
Users are solely responsible for interpreting, validating and independently assessing any outputs generated through the Platform.
4. Eligibility
4.1
You may only use the Services if:
- you are at least eighteen (18) years old; and
- you have legal capacity to enter into binding contracts.
4.2
By using the Services, you represent and warrant that your use of the Services does not violate any Applicable Laws in your jurisdiction.
4.3
Disc reserves the right to refuse access to any person, jurisdiction or entity at its sole discretion.
5. Accounts
5.1
Users must register an Account to access certain Services.
5.2
You are responsible for:
- maintaining the confidentiality of login credentials;
- all activity occurring under your Account;
- ensuring that all information provided is accurate and current.
5.3
You shall promptly notify Disc of any unauthorised access, suspected compromise or security incident relating to your Account.
5.4
Disc may suspend or terminate Accounts where:
- these Terms are breached;
- unlawful activity is suspected;
- system abuse is detected;
- payment obligations are unpaid;
- continued access presents operational, legal or reputational risk.
6. Subscription Plans, Credits and Billing
6.1
Access to the Services may require:
- payment of recurring subscription fees;
- purchase or allocation of usage-based Credits; or
- both.
6.2
Subscription fees are charged on a recurring basis in advance at the billing interval selected by the user.
6.3
Credits may be consumed through use of specified Platform functionality including but not limited to:
- computational processing;
- streaming throughput;
- model execution;
- signal generation;
- API requests;
- integrations;
- data usage;
- infrastructure consumption.
6.4
Users acknowledge and agree that:
- Credits represent a contractual right to access Platform functionality only;
- Credits have no cash value;
- Credits are non-transferable unless expressly authorised by Disc;
- unused Credits may expire in accordance with the applicable pricing plan.
6.5
Disc shall use commercially reasonable efforts to provide users with:
- transparent pricing information;
- estimated usage visibility;
- consumption tracking;
- cost estimation tools; and
- billing clarity prior to or during usage.
6.6
Notwithstanding clause 6.5, users remain solely responsible for monitoring and managing their own usage and incurred charges.
6.7
Disc may modify pricing, billing structures, Credit models, subscription plans or usage rates at any time upon reasonable prior notice.
6.8
Unless otherwise required by law:
- fees are non-refundable;
- partial billing periods shall not be prorated;
- purchased Credits are non-refundable;
- unused subscription periods are non-refundable.
6.9
Failure to pay fees when due may result in:
- suspension of Services;
- limitation of functionality;
- deletion of Content;
- termination of the Account.
7. No Investment Advice
7.1
Disc expressly disclaims any and all responsibility for investment, trading, financial or market decisions made by users.
7.2
Nothing on the Platform constitutes:
- investment advice;
- financial advice;
- tax advice;
- accounting advice;
- legal advice;
- trading advice;
- asset allocation advice;
- suitability analysis;
- fiduciary services.
7.3
Users acknowledge that:
- all investments and trading activities involve substantial risk;
- financial markets are volatile and unpredictable;
- users may lose some or all capital;
- past performance does not guarantee future results.
7.4
Any outputs, alerts, indicators, rankings, scores, signals, metrics, correlations, models or analytics generated through the Platform may be inaccurate, incomplete, delayed, misleading, corrupted, unavailable or unsuitable for any purpose.
7.5
Disc does not endorse or validate:
- user-generated trading strategies;
- trading methodologies;
- model outputs;
- predictive analytics;
- investment theses;
- automated workflows.
7.6
Users shall independently verify all information before relying upon it.
8. No Trade Execution
8.1
Disc is not a trading venue or execution platform.
8.2
Trades are not executed within the Platform.
8.3
The Platform may permit integrations, exports, APIs or interoperability with third-party systems, exchanges, brokers, wallets or execution infrastructure.
8.4
Any decision to connect Disc outputs to external systems is undertaken solely at the user’s own risk.
8.5
Disc accepts no responsibility whatsoever for:
- trade execution;
- failed execution;
- delayed execution;
- erroneous execution;
- slippage;
- liquidation events;
- order routing;
- broker failures;
- exchange outages;
- smart contract failures;
- API failures;
- automated trading losses.
8.6
Users remain solely responsible for all actions taken outside the Platform.
9. Market Data and Third-Party Providers
9.1
The Platform relies upon Data Providers and other third-party infrastructure.
9.2
Disc does not warrant that any data or information shall be:
- accurate;
- complete;
- current;
- uninterrupted;
- synchronised;
- error-free;
- fit for purpose.
9.3
Data may be:
- delayed;
- incomplete;
- subject to revision;
- interrupted;
- corrupted;
- unavailable;
- inaccurately normalised;
- improperly formatted.
9.4
Disc accepts no liability arising from:
- inaccuracies in third-party data;
- omissions in third-party data;
- delayed data feeds;
- infrastructure outages;
- exchange-side failures;
- API interruptions;
- network congestion;
- blockchain reorganisations;
- latency;
- packet loss;
- cloud infrastructure failures.
9.5
Users acknowledge inherent limitations in market data.
10. User Models, Signals and Calculations
10.1
Users may create or deploy models, indicators, formulas, signals, alerts, scripts, automations or workflows.
10.2
Disc does not:
- review outputs;
- verify correctness;
- validate integrity;
- guarantee accuracy;
- guarantee suitability.
10.3
Users are responsible for:
- validation;
- testing;
- backtesting;
- assumptions;
- monitoring;
- risk management.
10.4
Disc shall not be liable for:
- incorrect calculations;
- flawed logic;
- coding errors;
- model drift;
- overfitting;
- signal inaccuracies;
- automation failures;
- trading losses.
11. Acceptable Use
Users shall not:
- use the Services unlawfully;
- interfere with security;
- attempt unauthorised access;
- reverse engineer unlawfully;
- overload infrastructure;
- scrape unlawfully;
- engage in manipulation;
- commit fraud;
- infringe IP;
- upload malware.
Disc may investigate and act on misuse.
12. Intellectual Property
12.1
All IP rights in the Platform remain with Disc.
12.2
Users receive a limited, revocable, non-exclusive, non-transferable licence.
12.3
Users retain ownership of User Content.
12.4
Users grant Disc a licence to process User Content to provide Services.
12.5
Users warrant they have rights to uploaded content.
13. Availability and Service Interruptions
13.1
No guarantee of uninterrupted service.
13.2
The Platform may experience outages, downtime, latency or failures.
13.3
Disc may modify or discontinue Services at any time.
13.4
Services are provided “as is” and “as available”.
14. Disclaimers
14.1
Disc disclaims all warranties to the maximum extent permitted by law.
14.2
Including:
- merchantability;
- fitness;
- non-infringement;
- accuracy;
- reliability.
14.3
Disc does not guarantee:
- requirements met;
- profitability;
- correctness;
- performance;
- continuous operation;
- security.
15. Limitation of Liability
15.1
Disc shall not be liable for:
- indirect losses;
- consequential losses;
- loss of profits;
- loss of revenue;
- loss of opportunity;
- loss of data;
- business interruption;
- trading losses;
- reputational damage.
15.2
Includes losses from:
- reliance on Platform;
- signals;
- data;
- outputs;
- trading activity;
- integrations;
- external systems.
15.3
Aggregate liability capped at:
- fees paid in last 3 months; or
- £100 (whichever is greater).
15.4
Non-excludable liabilities remain unaffected.
16. Indemnity
Users agree to indemnify Disc against claims arising from:
- breach of Terms;
- misuse;
- trading activity;
- legal violations;
- disputes;
- User Content;
- integrations.
17. Suspension and Termination
17.1
Disc may suspend or terminate access immediately.
17.2
Upon termination:
- licences end;
- access ends;
- data may be deleted.
17.3
No obligation to retain User Content.
18. Privacy and Data Processing
18.1
Also governed by Privacy Policy.
18.2
Communications may not be secure.
18.3
Disc may process data for:
- service delivery;
- security;
- analytics;
- billing;
- compliance;
- improvement.
19. Regulatory Status
19.1
Disc is a software provider only.
19.2
Not regulated by the FCA unless stated.
19.3
Users responsible for compliance.
20. Amendments
20.1
Disc may amend Terms.
20.2
Effective upon publication.
20.3
Continued use = acceptance.
21. Governing Law and Jurisdiction
21.1
Governed by laws of England and Wales.
21.2
Courts of England and Wales have exclusive jurisdiction.
22. Miscellaneous
22.1
Invalid provisions do not affect the rest.
22.2
No waiver by non-enforcement.
22.3
No assignment without consent.
